These terms govern Codex hosting and the CodexCMS software supplied with it. CodexCMS is operated by Receptive Ltd, a company registered in England and Wales, which is the contracting party and the data controller for your account data. By subscribing you agree to the terms below.
Codex hosting is a monthly subscription to hosting capacity, the CodexCMS software, and the API your Codex agent uses to manage your site. The plan and price shown at the point of purchase form part of these terms, including the storage allowance and the number of spaces included.
Each subscription includes two hosting spaces: a test space on a subdomain we provide, and a live space on a domain you control. Both spaces share the storage allowance for your plan. Spaces are for your own projects or those of your clients; reselling capacity as a hosting product of your own requires our written agreement.
Subscriptions are billed monthly in advance and renew automatically until cancelled. Where a free trial is offered, no payment is taken during the trial and the first payment falls due the day after it ends. Payments are processed by Stripe; we never see or store your full card number.
You choose your billing currency at checkout from those offered, and that currency applies for the life of the subscription. Prices in different currencies are independent price points and are not pegged to an exchange rate, so they will not always convert exactly.
You may cancel at any time. There is no notice period: cancellation takes effect at the end of the billing period you have already paid for, and your spaces stay live until then. Cancelling during a free trial takes effect immediately and you are charged nothing.
We do not refund part-months, because you keep full access for the period you paid for. If you believe you have been charged in error, contact us and we will put it right.
Your content is yours. Because a CodexCMS site is ordinary PHP files and a MySQL database, it can be exported and hosted elsewhere without conversion.
After a subscription ends we keep your files and database for 30 days so you can request an export or reinstate the account. After that period they are deleted permanently and cannot be recovered. Request your export before the 30 days elapse.
You are responsible for everything published in your spaces and for the lawfulness of the content and data you put there. You must not use the service to:
The storage allowance is offered on a fair-use basis for hosting your own sites and applications. If usage becomes a problem we will contact you to discuss it before taking any action against the account, except where content is unlawful or the platform's stability is at immediate risk.
We aim to keep the service running continuously, but Codex hosting is offered without a contractual uptime guarantee or service credits at this price point. Planned maintenance is carried out with as little disruption as we can manage. Support is provided by email on a best-efforts basis during UK business hours.
CodexCMS writes an automatic backup of a file before it is changed, which is designed to undo an unwanted edit rather than to serve as a disaster-recovery system. You remain responsible for keeping your own independent copies of anything you cannot afford to lose.
Codex hosting is designed to be driven by an AI coding agent that you connect and control. Changes an agent makes on your instruction are your changes, and you are responsible for reviewing them — this is why every plan includes a test space. We do not warrant that any output an agent produces will be correct, secure or fit for your purpose.
You must keep your API credentials confidential. Anything done using your credentials is treated as done by you.
CodexCMS and the platform around it remain the property of Receptive Ltd. Your subscription grants you a non-exclusive, non-transferable right to use the software for your own spaces for as long as the subscription is active. You may not resell, sublicense or redistribute the software itself. Content, designs and data you create remain yours.
The service and software are provided "as is" and "as available". To the maximum extent permitted by law we exclude all implied warranties, including fitness for a particular purpose and any warranty that the service will be uninterrupted, error-free or secure.
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data, goodwill or business. Our total liability for all claims in any twelve-month period is limited to the fees you paid us in the three months before the event giving rise to the claim.
Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
We may suspend or terminate an account that breaches these terms, or whose payment fails and is not resolved. Where the breach is not urgent we will contact you first.
We may change these terms; material changes will be notified by email or on this page before they take effect, and continuing to use the service after that constitutes acceptance. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protections available where you live.
Receptive Ltd is the data controller for your account, billing and support data. For the websites, databases and files you host in your spaces, you are the data controller and we act as your data processor — we hold that data on your behalf, and we access it only to run the platform, to fix a fault, or when you specifically ask us to help.
This is different from a self-installed CMS, where the data sits on your own hosting. Here it sits on ours, so the commitments in this section matter.
We use account and service data to provide the hosting you have paid for, to take payment, to give support, to protect the platform against abuse, and to meet our legal and accounting obligations. Our lawful bases are performance of our contract with you, our legitimate interests in running and securing the service, and compliance with legal obligations.
We do not sell personal data, and we do not use the content of your sites for advertising or to train AI models.
We share data only with the suppliers needed to run the service — our payment processor (Stripe), our hosting and infrastructure providers, and our email delivery provider — each acting under contract and only for that purpose. We also disclose data where the law requires it.
When you connect Codex or another AI assistant to your space, that assistant reads and writes your site data through the API using your credentials, and the content it reads is transmitted to whichever AI provider you have chosen. That provider's own terms and privacy policy govern what happens to it there. Choosing to connect an assistant is your decision, and you can revoke its access at any time.
Account, billing and licence records are kept while your account is active and afterwards for as long as legal, accounting and fraud-prevention obligations require, then deleted or anonymised. Site files and databases are deleted 30 days after a subscription ends, as described in clause 5. Server logs are kept for a short rolling period for security purposes.
You have the right to access a copy of your personal data, to have inaccurate data corrected, to have data erased, to restrict or object to processing, and to data portability. You can exercise any of these by contacting us. You also have the right to complain to the UK Information Commissioner's Office if you are unhappy with how we have handled your data.
The CodexCMS marketing site does not set advertising or analytics cookies. Your browser may store a small preference locally — such as your chosen currency — which stays on your device and is never sent to us. The checkout uses cookies set by Stripe that are strictly necessary to process payment.
Our infrastructure is located in the UK and the EU. Where a supplier processes data outside the UK, that transfer is covered by an adequacy decision or by standard contractual clauses.
